Application Terms of Use

These terms are an agreement between Opencast Media Inc. ("we", "us") of Vancouver, British Columbia, Canada, and you, and govern your access to and use of the Speeding Studio application (the "Service"). By creating an account or using the Service, you agree to these terms. If you use the Service on behalf of a company, you represent that you can bind that company, and "you" means that company.

The Service

Speeding Studio is a production planning platform: quoting, casting, booking, agreements and electronic signatures, call sheets, scheduling, and billing for productions. Features vary by subscription plan, and we may add, change, or retire features over time.

Early access and beta

While the Service is designated beta or early access, it is pre-release software provided "as is": features may be incomplete, contain defects, change significantly, or be discontinued, and interruptions and data loss are possible despite our efforts. Keep independent copies of anything you cannot afford to lose, and do not treat the Service as your only record of critical production information during beta.

Accounts

You must provide accurate account information and keep your credentials secure; you are responsible for activity under your account. You must be at least the age of majority in your jurisdiction to hold an account. Cast and crew participants may hold free accounts to apply to postings, manage their profiles, and invoice.

Subscriptions and payment

Paid plans are billed in advance on a recurring basis through our payment processor. Prices, tiers, and included features are described in the Service and may change with notice; changes apply from your next billing period. Taxes are added where required. Except where the law requires otherwise, fees are non-refundable, but you may cancel at any time and keep access until the end of the paid period. If a payment fails and remains unpaid after notice, we may downgrade or suspend the account.

Your content and data

You retain ownership of the content and data you put into the Service. You grant us the licence needed to host, process, back up, and display it — solely to operate and improve the Service. You are responsible for what you upload, including having the necessary rights and consents.

Personal information of others

Production work means entering other people's information — cast, crew, clients. Where you enter personal information about others, you are responsible for having the legal authority or consent to do so, and for using it lawfully. We process that information on your behalf to provide the Service, in accordance with our Privacy Notice. Features that hold sensitive personal information apply additional access controls, and access to revealed sensitive data is logged.

Electronic signatures

The Service includes electronic signature functionality with audit trails and verification artifacts. You are responsible for ensuring that electronic signature is an appropriate and lawful method for each document you send, that signers are who you believe them to be, and that any consent or disclosure requirements in your jurisdiction are met. We provide the signing mechanism and its records; we do not provide legal advice, and we make no representation that a given signed document is valid or enforceable for your specific purpose. Signers are shown our E-Signature Consentbefore signing electronically.

Acceptable use

You agree not to: misuse the Service or interfere with its operation or security; access other tenants' data or attempt to; use the Service to send spam or unlawful communications; upload malicious code; misrepresent identities, credits, or signatures; resell the Service without our agreement; or use the Service in violation of applicable law. We may suspend accounts that put the Service or others at risk.

Verified credits

Completed bookings can generate verified credits on participant profiles. Credits reflect records in the Service; we do not guarantee their completeness and may correct credits that were generated in error or through misuse.

Availability and support

We work to keep the Service available and performant but do not guarantee uninterrupted service, particularly during beta. Planned maintenance and unplanned incidents may cause downtime. Support channels and response expectations, if any are committed, are described in your plan.

Intellectual property and feedback

The Service, its software, and its design remain ours. If you give us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without obligation to you.

Termination

You may stop using the Service and delete your account at any time. Deleting your account ends your access immediately, so export your data first. We may suspend or terminate accounts for material breach of these terms, non-payment, or where required by law, with notice where practicable; if we terminate your account, we will make your data available for export for a reasonable period where practicable. In either case, data is then deleted in the ordinary course, except where retention is legally required (for example, completed signature audit records).

Disclaimers

Except as expressly stated, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or exemplary damages, including lost profits or lost data. Our total liability for all claims arising out of or relating to the Service is limited to the amounts you paid us for the Service in the twelve months before the event giving rise to the claim (or CAD $100 if you have paid nothing). These limits do not apply where the law does not permit them.

Indemnity

You will indemnify us against third-party claims, damages, and reasonable legal costs arising from your content, your use of the Service in breach of these terms, or your violation of law — including claims from individuals whose personal information you entered without authority, or from signers or counterparties in documents you sent for signature.

Governing law

These terms are governed by the laws of British Columbia and the federal laws of Canada applicable there. Disputes will be resolved in the courts of British Columbia.

Changes to these terms

We may update these terms. For material changes we will give notice through the Service or by email before they take effect; continued use after the effective date constitutes acceptance.
